Economic adviser Kudlow, asked about negative effects of Trump tariffs on U.S. business: ‘Don’t class warfare me’ - MarketWatch So a question about the negative impacts of Trump's tariffs is now classified by Trump's economic advisor, the media personality Larry Kudlow, as a class warfare type question. After thinking about that for almost one second, I came to a conclusion that Larry does not know what class warfare means. Kudlow graduated with a B.A. in history from the University of Rochester. He does not have a decree in economics but talks on TV like he knows something which can be summed up as follows: (1) lower taxes are good  (2) regulations are bad; and (3) trade wars are bad but are no longer bad after Larry became Trump's economic advisor. What more do you need to know?

It is impossible to read these tweets (and thousands of other statements made by Donald) and come to any conclusion other than Donald is unfit to be President within the meaning of the 25th Amendment to the Constitution. Donald also repeated his false statement that China pays the U.S. tariff tax which in fact is paid by the U.S. "importer of record":





In practice, U.S. consumers and businesses will pay for Trump tariffs. I will be waiting for Donald to acknowledge that fact in a tweet, though I will not be holding my breath in anticipation.

Saudi Arabia


Someday, hopefully within the next 20 years, a U.S. President will be able to tell the Saudis to go to hell. I hope to be around and above ground when that day arrives.

Canada issued a mild protest about SA arresting human rights activists protesting that nation's abysmal treatment of women. Manafort and Gates


Unless someone has forgotten, I would simply note that Manafort was Donald campaign manager for a brief period in 2016; and Rick Gates was the Duck's deputy campaign manager even after Manafort left. 


Manafort started working in Trump's campaign in February 2016.   


Manafort was promoted to Donald's campaign manager on 6/30/16 after the Duck fired Corey Lewandowski


Donald recently blamed the federal government for his decision to hire Manafort. 

Shortly after it was disclosed that Manafort allegedly received $12M from the recently deposed and pro-Russian president of Ukraine, Donald let Manafort go on 8/17/16.

This is the first of two criminal trials involving Manafort. The current trial involves 32 criminal counts and is being tried in the federal district court for the Eastern District of Virginia. Read: Mueller’s new indictment of Paul Manafort and Rick Gates - Vox  


It looks to me like Manafort is toast, but juries sometimes return verdicts that are inconsistent with the evidence. Two of my favorite examples are the jury verdicts in these criminal trials: Did the preacher's wife snap? - Dateline NBC - Crime reports - The Preacher's Wife | NBC News (the shotgun went off accidentally and discharged into her husbands back. She  unplugged the telephone, since he was not dead yet,  and then took her children on vacation); How did Robert Durst chop up a body and not get convicted for murder? In both cases, the evidence supported convictions for first decree murder IMO. 


The important question is whether Manafort becomes a canary when he is convicted and facing a potential life sentence in a federal penitentiary given his current age which is 69. He is married and has two children.

Some investors believe that floating rate feature protects them against a rise in interest rates. I call it a gimmick when used by U.S. companies. The transition from a fixed coupon to a floating rate one generally occurs after the issuer pays the fixed rate for several years. 

On the transition date, the issuer has the option to redeem at par value and would do so provided it is advantageous to it. 


When so redeemed at the end of the fixed coupon period, the investor never receives the floating rate coupon. 


The redemption would occur when the spread to the short term rate is just too high and better financing alternatives are available. 


The redemption would not occur when the floating rate coupon is so low that the issuer views it advantageous to keep it. An example would be a floating rate below the fixed rate with the issuer unable to sell a fixed rate coupon preferred at a lower yield.  


Par Value: $25

Optional Redemption: This stock can not be redeemed prior to 1/27/25 "except under circumstances where it is necessary to preserve our qualification as a REIT for U.S. federal income tax purposes and except . . .  upon the occurrence of a Change of Control" as defined in the prospectus. 


Dividends: Paid quarterly, cumulative and non-qualified (pass through entity/can't avoid taxation at the corporate level and have the dividend treated as qualified). 

Fixed Coupon: 7.25% to but excluding 1/27/25


Last Ex Dividend Date: 7/11/18



Floating Rate-Spread over the Three Month Libor Rate: If not redeemed by the issuer,  from and including 1/27/25 at a floating rate equal to the three month Libor rate plus a spread of 5.011%

This is what happens if and when this security transition to a floating rate coupon and there is no 3 month Libor rate in existence: 




There is some risk that the transition to an alternate rate will not be smooth. But the fixed coupon remains in effect for about four years after Libor ceases to exist.     

Stopper Clause: Yes. The stopper clause enforces the superior claim of a preferred shareholder vs. the common shareholder to cash: 




The only way to defer the preferred dividend is to eliminate the cash dividend on common stock first. In order to maintain its REIT tax status, the company has to pay a cash dividend to common shareholders when it has net income available for distribution. For example, if the REIT had to cut the common share cash dividend to $.01 per share annually, and had to pay that dividend since it had net income, then the preferred shareholder would have to be paid in full.

I thought that the last earnings report, which beat the consensus estimate, was fine. This bank stock is not going to be a home run since earnings growth will be restrained by competition, NIM stagnation which is normal among regional banks, its conservative lending practices and the type of bread and butter loans it makes as a small regional bank.

    I have a small ball buying program in this high yielding stock with the last purchase at $19.96.

    The market is reacting somewhat negatively to a huge STWD acquisition which the company says will be "accretive" but does not say how much:

    "The Company anticipates the transaction will be accretive to core earnings. The Company expects to finance the transaction with a new secured term loan facility from MUFG with an initial advance of approximately $1.7 billion and committed capacity for future funding obligations in the Loan Portfolio. The Company has ample available liquidity in addition to a $600 million committed acquisition facility from Credit Suisse and Citigroup Global Markets Inc. to fund the balance of the purchase price."

    GMRE is classified by me as a low quality equity REIT that pays a a $.2 per share quarterly dividend that it has not in the past been covered with free cash flow. The REIT is relatively new and has been growing through acquisitions. It is externally managed.

    Last year, this REIT paid out $.8 per share in dividends. Of that amount, $.672 per share was classified as return of capital which would have reduced the cost basis by an equivalent amount.

    The market is responding favorably to the 2nd quarter earnings report released after the close yesterday.

    GMRE reported quarterly AFFO at $.2, up from $.14 in the year ago quarter. The AFFO calculation excludes straight line revenue and adds back stock based compensation to the FFO calculation (see page 8) While that looks like 100% coverage for the quarterly dividend of $.2, I would not regard GMRE's AFFO calculation to be equivalent to FAD which would also deduct from FFO several cash expense items such as recurring maintenance expenditures, leasing costs, contractual tenant improvements, and acquisition costs.

    GMRE says that its properties are "primarily leased on a triple-net lease basis". Generally those leases would require the tenant to pay for property insurance, real estate taxes and routine maintenance.

    I have traded this stock several times and currently own 96+ shares with an average cost per of $7.72.

    Some of the weakness in the shares after PGNX announced that the FDA approved AZEDRA was probably due to investors anticipating a share offering.

    THL Credit Inc. (TCRD) announced earnings after the close. After hours volume is thin, but the shares are trading up so far:

    There is some concern that this BDC would have to cut its $.27 quarterly dividend based in large part on loan losses. The report indicates that the company decided to bite the bullet on some of those nonperforming loans.

    "THL Credit recognized a net realized loss on portfolio investments of $25.1 million, primarily related to a realized loss from the sale of its second lien debt investment in Specialty Brands Holdings, LLC, losses from the final restructuring of its Charming Charlie LLC investment upon emergence from bankruptcy proceedings and a change in estimated recovery proceeds of the Aerogroup International Inc. escrow receivable. These losses were offset by a reversal of prior period unrealized depreciation totaling $23.4 million related to these realized losses."

    Net asset value dropped to $10.23 from $10.51 as of 12/31/17 and $10.44 as of 3/31/18. Most of the realized losses had already been factored into the net asset value due to previous write-downs.

    The net investment income for the quarter was reported at $.31 per share. SeekingAlpha calls that a 4 cent beat:

    Of importance is the revelation that the external advisor has actively been purchasing shares:

    "Between March 14, 2018 and July 9, 2018, the Advisor purchased 1.3 million shares at an average purchase price of approximately $7.94 per share, inclusive of commissions. The total dollar amount of shares purchased by the Advisor under this program was $10.0 million"

    This BDC has a unfavorable history which can be gleamed by looking at a long term price chart and the historical net asset values per share, which I discussed when buying a token amount. The stock was trading near $17 late in 2013.

    As of June 30, 2018, 95 percent of its debt investments bore interest based on floating rates.

    The economic environment has been favorable for BDCs over the past five years. A recession will result in an elevated number of defaults.

    This is another Lotto ticket. I am not sure what is causing the enthusiasm today. With these small cap biotech companies, a lot of the price movement is unmoored from news events and is being caused by the market dynamics of supply and demand.     I do not understand what the Oppenheimer analyst means in stating there was an "unanticipated upfront payment from Yakut of $10 million, in association with a collaboration agreement" for VSTM's key product Duvelisib in Japan.

    The announcement of that exclusive license to market in Japan was clear that there would be an upfront payment of $10M plus up to another $90M in potential milestone payments.

  9. I sent a simple email to TDAmeritrade, " Can I buy Treasury auctions with no commission" It's a SIMPLE question! The following is the response I received, I have now navigated to TDAmeritrade's prices, where they show : " Treasury Auction/ flat fee $25.00/ I did respond to this vague email that they should answer my question, it's not rocket-science>>> read this >>>
    Thank you for your inquiry! The cut-off time is 24 hours prior to the Auction closing time on the prior business day.
    Clients will have until 11am est Friday morning to place orders for Auctions scheduled for the following Monday. Auctions scheduled for Tuesday will have the buy button removed 11am est Monday morning and so on.
    We will be following this timeline for the foreseeable future. This also means that due to the same day announcement of the 4 week Auction, that we will not be submitting orders for this Auction. We understand that this may be frustrating but ask for your patience and understanding as work through improving and automating our process.

    1. I think that it is clear from TD's commission schedule that the broker charges a $25 flat fee for treasury auction participation. When buying treasuries in the secondary market, TD will charge on a "net yield basis" which is also true for CD purchases. We have had this discussion.

      A "net yield basis" means that there is a markup or markdown on the price by the broker. How much? For bond trades, markups and markdowns have to be disclosed now when placing the order. You will see that disclosure when buying a bond now from Fidelity.

      When a family member moved an account from a TD Keogh to an existing Fidelity one, Fidelity had outstanding as now a 500 free trade offer for moving over $100K and that transfer qualified as being over the limit. Fidelity however said it could not give that free trade offer in a retirement account rollover due to legal restrictions but did lower the standard commission rate to $3.95 from $4.95.

    1. I believe Ford eliminated its quarterly dividend starting in the 2006 4th quarter and did not pay another dividend until the 2012 first quarter when it resumed at $.05 per share:

  11. Today was a decent day for bonds with the ten year treasury yield falling to 2.93% from 2.96%. The curve really flattens out between 10 and 30 years. The 20 year and 30 year treasury bonds closed at a 3.01% and 3.04%, both down 4 basis points in yield.

    Short term bank CD yields continue to trend down and do not IMO properly reflect likely increases in the federal funds rate. The current probability is at 96% that the FED will raise the FF range to 2% to 2.25% on 9/28.

    CDs maturing in six months for today are generally in 1.9% to 1.95% range while the six month treasury bill closed today at 2.24%:

    My Schwab commission free trades expired yesterday. Unlike Fidelity, Schwab does not provide a count of how many commission free trades remain in their customer's account. You have to contact a Schwab representative to find out. I have periodically asked but that should not be necessary.

    Yesterday, I made a number of small odd lot trades to use up the remaining free trades, originally at 500. In each case, Schwab showed no commission was owed when I place the trade.

    When I looked at my account this morning, several trades were commission free but two had a $4.95 commission, indicating that Schwab's computers overnight figured out that I had used all of the commission free trades and went over by 2.

    I complained NICELY this morning. The two $4.95 commissions were deleted and I was given 30 more commission free trades.

    Donald is to blame, though I doubt that he will see any relationship between his tweet about Turkey earlier today and the declines in the stock market and interest rates. In response to the decline in Turkey's Lira against the USD, Donald authorized a doubling of "tariffs on Steel and Aluminum with respect to Turkey."

    Turkey's currency promptly lost another 20% of its value and is currently down about 17% against the USD.

    The decline in the Lira prior to Trump's tweet was not due to Turkey devaluing its currency to gain a competitive export advantage or to make aluminum and steel exports less costly to U.S. buyers.

    The decline was primarily a result of foreign investors pulling back investments and domestic money fleeing Turkey due to the economic policies of Erdogan and Trump's recent decision to impose sanctions in response to Turkey's treatment of a pastor.

    Erdogan has moved into a populist, authoritarian mode of governing and investors generally do not respond well to a nation moving toward the Hugo Chavez model for economic destruction. So the best course is for investors, both domestic and foreign, to flee, converting lira into stronger currencies. Donald just accelerated that flight so does he now increase his tariffs by the 20% decline in the Lira that he caused today.

    The ten year treasury closed at a 2.87% yield which is lower than the annual CPI of 2.9% reported earlier today by the BLS. Wage growth is being devoured by inflation (that is no real wage growth at the current inflation rate). Core CPI was reported at +2.4% Y-O-Y. The budget deficit increased by 79% in July compared to the same month last year. Corporate tax revenues were down 34%.

    I have several CDs coming due next week in my Schwab account where my sweep account pays just .22%. I had a $2K CD mature yesterday in that account and decided to use the proceeds to buy a three month treasury bill at auction on Monday. I will receive $18K in that account from maturing CDs in the last 3 weeks of August which will probably be redirected into treasury auctions.

    The current rate is 2.05% for the 3 month bill.

  14. I discussed buying TWOPRC in this post. The purchase was made in my Schwab account.

    Fidelity will not allow its customers to buy this security online. That is not unusual for that broker. Fidelity bars its customers from purchasing all fixed to floating rate securities (or at least I am unaware of one that I can buy using that broker). That would include securities that pay a fixed coupon for a period and then may transition to a floating rate down the road and securities that may pay a floating rate when it is higher than a fixed rate which would include the floating rate equity preferred stocks like GSPRD, MSPRA and METPRA or the Aegon hybrid AEB. Fidelity has barred for a long time the purchase of synthetic floaters like GJS or GYB and what is known as "principal protected" bonds whose coupon is linked to the performance of some stock index.

    Good luck in trying to find out the real reason why. Once a Fidelity representative told me that it was because of the small floats but many of the barred securities have more volume than the fixed rate preferred stocks from the same issuer or other securities which are not barred. Nor, it can be due to risk since the securities are less risky than many stocks that the broker allows its customers to buy with no earnings and no real prospects.

    Every broker that I have used has problems. I run into problems all of the time. If I fired a broker for causing a problem, I would not have any brokers left. All of them have pluses and minuses but some have too many negatives and consequently I no longer use them (e.g. TD Ameritrade).
